Terms & Conditions
This incentive-based competition ("Challenge”) is conducted as part of the Rio Tinto Open Innovation Process, sponsored by Rio Tinto (“Sponsor”). Your (“Innovator”) participation in the Challenge constitutes your acceptance of these Terms & Conditions.
- Eligibility
- Unless otherwise specified, this Challenge is open to individuals, teams or companies.
- For teams or companies, a primary contact must be designated for the duration of the Challenge and any follow-up communications.
- To be eligible individuals must be at least 18 years of age as of the day they accept to participate in the Challenge and not be employee(s) of Rio Tinto or any company, partnership, joint venture or other corporate entity that, whether directly or indirectly, controls, is controlled by, or which is under the same management or control of either Rio Tinto Limited (ABN 96 004 458 404) or Rio Tinto plc (Company No. 719885) (“Rio Tinto Group”).
- Submission
During the Challenge, Innovator may submit to Sponsor materials ("Submission”) in response to certain criteria made available by Sponsor to Innovator from time to time. Innovator agrees:- that the Submission, and any content or ideas contained therein, is their own original work and does not infringe third party rights, including but not limited to rights protected under applicable copyright or patent laws;
- not to disclose any confidential information in Submissions or communications with Sponsor. For the avoidance of doubt, no Submission or communications with Sponsor, or any other information or material submitted by Innovator to the Sponsor will be treated as confidential by Sponsor, even such Submissions, communications, information and/or materials that are marked “confidential”. Sponsor recommends that Innovator seek independent legal advice if they have any concerns about confidentiality prior to submitting a Submission;
- to submit one Submission that represents their best idea (although multiple entries will be permitted at the sole discretion of the Sponsor);
- to provide reasonable assistance and additional information concerning the Submission to Sponsor, if requested; and
- that they remain the owner of the Submission, and any content, intellectual property rights or ideas contained therein, but that the Sponsor may use the content, intellectual property rights or ideas in the Submission for its business purposes without attribution or restriction.
- Judging and selecting winner(s)
During the Challenge the Sponsor’s judges will select one or multiple winners of the Challenge who will receive a monetary amount (“Award”). Innovator agrees and acknowledges that:- judges’ decisions and award of the Award is final and cannot be appealed or questioned;
- Sponsor is under no obligation to act on a Submission or to provide Innovator with reasons in the event of a rejection;
- Sponsor reserves the right to disqualify any Innovator for any reason at any time;
- Sponsor will be the sole decision-maker in determining the viability of any Submission; and
- Sponsor otherwise has absolute discretion to determine whether the judges will or will not award an Award, how many Awards will be awarded, and the amount of any Award.
- Indemnification, disclaimer
- Innovator (and each of them) agrees to indemnify and hold harmless the Sponsor, the Rio Tinto Group and personnel, and any organizations supporting facilitation of the Challenge, in relation to anything arising from the Challenge.
- In no event shall Sponsor or the Rio Tinto Group be liable to Innovator for any consequential, incidental, indirect, special, punitive or exemplary damages (including, without limitation, lost profits, business or goodwill) suffered or incurred by such party in connection with the Challenge, even if advised of the possibility of such damages.
- General
- Sponsor reserves the right to cancel, suspend and/or modify the Challenge or the Rio Tinto Open Innovation Process, or any part of it, for any reason and at any time, acting reasonably, without incurring any liability.
- If any conflict or inconsistency arises between these Terms & Conditions and any other terms made available to Innovator during the Challenge, these Terms & Conditions take precedence.
- Many governments regulate the export of certain technical data and information. Before submitting technical details of a technology, Innovator must research applicable Export Control laws or seek professional advice to assure Submission remains Export Control compliant. By submitting such details, Innovator certifies that such technical information is not restricted for export.
- The formation, existence, construction, performance, validity and all aspects of these Terms & Conditions shall be governed and interpreted in accordance with laws of Quebec and in the event of any dispute arising in relation to these Terms & Conditions or any dispute arising in relation to the website whether in contract or tort or otherwise, the courts of Quebec will have non-exclusive jurisdiction over such dispute.
- This agreement, all documents, correspondence and notices related hereto are written in English at the express request of the parties. Cette entente et tous les documents, correspondance ou avis s’y rapportant sont rédigés en anglais à la demande expresse des parties.

- By submitting a Submission and personal data to Sponsor, Innovator agrees to the Sponsor’s Privacy Policy.
