Submissions must be made online (only), via upload to the HeroX platform on or before 5:00 pm EDT on April 30, 2024. No late submissions will be accepted after the deadline.
Submissions will be reviewed by a panel of judges selected by the ADIR Foundation, which will make recommendations for the award of prizes to the ADIR Foundation Board of Directors (the “Board of Directors” or the “Board”). Review and recommendations of submissions by the panel of judges will be made based on the Judging Criteria section above and the quality of the pitch video. Final decisions as to the selection of winners and the award of prizes shall be made by the Board, in its sole discretion. All submissions must comply with these Competition Rules and must be in keeping with the ADIR Foundation’s reputation and image. Any submission that does not meet this standard may be rejected in the sole discretion of the Board of Directors. In addition, the Board reserves the right, in its sole discretion, to award prizes, not to award prizes, and/or to cancel or modify this competition and any rules of this competition at any time.
By participating in the ADIR Challenge Competition, each individual participant, and each member of a group making a submission (individually and collectively a “Submitter”) agrees to adhere to the ADIR Challenge Intellectual Integrity Policy and promises to submit only their original idea. Any indication of "copying" amongst Submitters is grounds for disqualification and any submission found to be misrepresentative, plagiarized, or sharing an idea that is not their own will be automatically disqualified.
By making a submission to the ADIR Foundation Ideation Challenge, each Submitter irrevocably agrees that the ADIR Foundation and its licensees, successors and assigns may use any portion of or all of the Submitter’s submission for any non-commercial purpose without any obligation to notify and/or compensate the Submitter. Submitter hereby grants to the ADIR Foundation and its licensees, successors and assigns (a) a non-commercial, non-exclusive, fully paid-up, royalty-free, irrevocable license (with the right to sublicense) to the intellectual property owned or controlled by Submitter to import, make, use, sell, or offer to sell the submission, and (b) the right to publish, use, reproduce, license, sell, manufacture, cut, edit, combine, augment, adapt, modify, and create derivative works of and from the submission. Submitter also agrees that the ADIR Foundation and its licensees, successors and assigns have the right to use the names, likenesses, voices and images of all persons appearing in the submission throughout the world in perpetuity in furtherance of the mission of the ADIR Foundation, including for future advertising, promotion and publicity. For the avoidance of doubt, the license granted includes the right to use Submitter’s intellectual property for combatting antisemitism and other forms of hate and discrimination without further compensation to Submitter. Each Submitter irrevocably waives any and all moral or similar rights that Submitter may have in that Submitter’s submission. Submitter represents and warrants that the submission is the original work of the Submitter, and agrees to indemnify the ADIR Foundation for all costs and damages relating to any claims made regarding the ownership or use of the materials in a submission.
Warranties
By making a submission to the ADIR Challenge Ideation Competition, each Submitter warrants and represents to the ADIR Foundation that (a) the submission complies with all applicable laws, and regulations, including but not limited to these Competition Rules; (b) the Submitter has not committed fraud or deception in making the submission and/or in claiming any prize; (c) the submission has been created by the Submitter as an original work and contains no copyrighted or other proprietary materials; (d) the submission does not infringe any intellectual property rights of any person or entity, including any trademark rights, rights of publicity, personality, or privacy of any person or entity, including as a result of the Submitter’s failure to obtain consent to post personally identifying or otherwise private information about a person; (e) the use of the submission does not and will not infringe upon, violate or misappropriate the intellectual property rights or other legal rights of any third party; (f) the submission does not promote or provide instructional information about illegal activities, promote physical or mental harm, or injury against any individual or group; (g) the submission is not defamatory, libelous or trade libelous, unlawfully threatening, or unlawfully harassing; (h) the submission does not promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; (i) the submission does not contain impersonations of any person or entity or falsely state or otherwise imply an affiliation with a person or entity, or include any falsified, composite, or otherwise non-authentic depictions of events, locations, landmarks, entities or persons; (j) the submission does not contain or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (k) the submission is not obscene or contain child pornographic or other indecent material; (l) the submission does not violate any community or Internet standard; (m) the submission does not constitute misappropriation of any trade secret or know-how; and (n) the submission does not constitute disclosure of any confidential information owned by any third party.
Indemnification
EACH SUBMITTER AGREES THAT THE ADIR FOUNDAITON AND ALL OF ITS OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS AND AGENTS WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE HELD HARMLESS BY, THE SUBMITTER FOR ANY AND ALL LIABILITY FOR ANY INJURY, LOSS DAMAGE OF ANY KIND TO PERSONS, INCLUDING DEATH AND PROPERTY, DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY PRIZE OR PARTICIPATIN IN THIS ADIR CHALLENGE IDEATION COMPETITION OR ANY RELATED ACTIVITY, INCLUDING TRAVELING AND ATTENDING AN ADIR FOUNDATION EVENT RELATED TO THIS COMPETITION. EACH SUBMITTER AGREES TO RELEASE, INDEMNIFY AND HOLD THE ADIR FOUNDATION AND ITS OFFICRS, DIRECTORS, EMPLOYEES AND AGENTS AND AFFILIATES HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS OF LIABILITY, LOSS OR DAMAGE, JUDGMENTS, COSTS AND EXPENSES (INCLUDING REASONABLE ATTORNEY’S FEES AND ATTORNEY’S DISBURSEMENTS) ARISING OUT OF OR INCURRED IN CONNECTION WITH THEIR PARTICIPATION IN THE ADIR CHALLENGE IDEATION COMPETITION, THE SUBMITTER’S PARTICIPATION IN THIS COMPETITION OR THE ACCEPTANCE OR USE/MISUE OF ANY PRIVE AWARDED BY THE ADIR FOUNDATION AND THE SUBMITTER’S PARTICIPATION IN THIS COMPETITION OR THE ACCEPTANCE OR USE/MISUSE OF ANY PRIZE AWARDED BY THE ADIR FOUNDATION, INCLUDING TRAVELING AND ATTENDING ANY ADIR FOUNDATION EVENT.
Non-responsibility of the ADIR Foundation
The ADIR Foundation is not responsible or liable for any events beyond its control, which may cause this Competition to be stopped, including any cancellation or postponement of live events, inclement weather, error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Competition submissions, nor is the ADIR Foundation responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any email or entry to be received by the ADIR Foundation on account of technical problems, human error, filtering or traffic congestion on the internet or at any website, insufficient space in a Submitter’s account to receive messages or any combination thereof, including any injury or damage to Submitter’s or any other person’s computer relating to or resulting from participation in this Competition or downloading or uploading any materials in this Competition. If, for any reason, this Competition is not capable of being conducted as planned, including due to tampering, unauthorized intervention, typographical errors, technical failures, fraud, or any other causes beyond the control of the ADIR Foundation that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Competition, the ADIR Foundation reserve the right at its sole discretion to cancel, terminate, modify, or suspend this Competition. The ADIR Foundation reserves the right, in its sole discretion, to disqualify any individual found to be tampering with the submission process or the operation of this Competition or to be acting in violation of these Competition Rules, or in an unsportsmanlike or disruptive manner. When used herein, the words “includes” and “including” and their syntactical variations shall be deemed followed by the words “without limitation.” ANY ACT OR ATTEMPT TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS COMPETITION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS; AND, SHOULD SUCH AN ACT OR ATTEMPT BE MADE, THE ADIR FOUNDATION RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ACT OR ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
Effect of these Competition Rules. Each Submitter agrees to be bound by these Competition Rules.
Costs and Fees. The ADIR Foundation is not liable for any cost incurred by anyone in the preparation of a submission to the ADIR Foundation Ideation Challenge or otherwise with respect to participation in or actions related to this Ideation Challenge.
Tax Issues. Any tax due as a result of the receipt of a monetary award or participation in this ADIR Foundation Ideation Competition is the sole responsibility of the individual or group receiving the monetary award.
Governing Law and Remedies; Arbitration. This ADIR Challenge Ideation Competition and all matters, issues and questions concerning the construction, validity, interpretation, and enforceability of these Competition Rules, or the rights and obligations of Submitters, winners, losers and the ADIR Foundation in connection with this Competition, shall be governed by, and construed in accordance with, the laws of the State of Delaware, without giving effect to any choice of law or conflict of law rules or provisions, which might otherwise cause the application of the laws of any jurisdiction other than the State of Delaware. Each Submitter agrees that any and all disputes, controversies or claims arising out of, relating to, or in connection with this ADIR Ideation Competition, which cannot be resolved between the parties, shall be finally settled by arbitration. The arbitration shall be conducted in accordance with the Rules of the American Arbitration Association in effect at the time of the arbitration. All arbitration proceedings shall be confidential. The seat of the arbitration shall be a site within the United States chosen by the Adir Foundation.
Miscellaneous. No purchase or payment of any kind is necessary to enter or win the competition. Void wherever restricted or prohibited by law. All submissions must be made as non-confidential. Submitters agree not to submit any information that is confidential and/or proprietary to any individual or entity. The ADIR Foundation shall have no obligation to treat any submission or related communications as confidential.
